The contents of this present document are electronic records, in abidance and conformity with the nuances of the Information Technology Act, 2000 and applicable Rules as may be amended; and shall not require any digital or physical signatures.

The terms and conditions iterated hereunder, in this agreement (“User Terms and Condititions”) apply on the usage of our website "www.quicksettle.ai" and shall apply to all information provided by any representative of LegalPay (“Company”) and shall be deemed to include recommendations, assistance and consultation and/or any other services provided to you.

The terms and conditions mentioned in this contract along with the Privacy Policy constitute the entire contract between the User (as defined and explicated below) and LegalPay (as defined and explicated below), with respect to access to and use of the website, and Quick Settle (“Product”), as a product offered by LegalPay, in supersession of any prior written or oral contracts.

The term “You / Your” refers to the Users of Quick Settle and shall denote any interested party expressing interest to avail the product, through the Website and/or any representative of the Company.

That, You have agreed to, and provided unfettered consent to receive communications from the Company via electronic modes inclusive of but not limited to WhatsApp and e-mail;

regarding information relating to transactions recorded on the Website;
requests for re-payment;
information about the Company and the Product;
promotional offers and services from the Company and its third-party partners, and;
any other matter in relation to the Product.

LEGALPAY TECHNOLOGY PRIVATE LIMITED, a company incorporated under the laws of India, bearing CIN- U74999DL2019PTC357858 and having its registered office at CSP-2312, Tower-2, 3rd Floor, DLF Capital Greens Nearby Karam Pura, Moti Nagar, Shivaji Marg, New Delhi-110 015, India, under its brand name “LegalPay” (hereinafter referred to as the “LegalPay”)

DEFINITIONS

"Applicable Law"- shall mean any statute, law, regulation, ordinance, rule, judgment, order, decree, by-law, approval from the concerned authority, government resolution, order, directive, guideline, policy, requirement, or other governmental restriction or any similar form of decision of, or determination by, or any interpretation or adjudication having the force of law of any of the foregoing, by any concerned authority having jurisdiction over the matter in question;
"Product"- shall be deemed to mean the technology platform provided by LegalPay, that allows a credit line for settling pending dues, to eligible Users, against easy repayments ;
"User"- shall mean any individual or entity seeking to avail the product ‘Quick Settle’ as approved by LegalPay;

LegalPay reserves the right to declare and determine User Eligibility on the basis of internal financial due diligence to be conducted by LegalPay.

“Interested Third Party”- shall mean any entity; company or otherwise against whom the User may have pending dues or vice-versa, emanating from a business transaction entered into between the User and Interested Third Party.

CONSENT TO ACCEPT TERMS OF THIS AGREEMENT

You confirm your eligibility under Applicable Law to enter into and execute this contract with LegalPay;
You consent to disclose all quintessential information regarding your transaction with the Interested Third Party, and accept the terms and conditions of this Agreement and the Privacy Policy as displayed on the Website; and,
You consent to receive communications, notices and information from the Company through post or other physical medium or electronically (whether through SMS, emails, phone calls and automated phone calls). Electronic communications shall be deemed to have been received by you when we send the electronic communication to the email address / mobile number/details provided by You during the onboarding and acceptance communication as per our records.

THE PRODUCT

LegalPay offers a seamless settlement tool by the name of Quick Settle, through the platform on www.quicksettle.ai other means inclusive of but not limited to, bona fide referrals both from a pre-existing pool of Users or augmented dissemination of the product benefits.
Post-onboarding of the User and upon acceptance of all terms and conditions, as enumerated herein, LegalPay shall carry out internal diligence checks independently, along with other partnered non-banking financial institutions or companies registered under, The Credit Information Companies (Regulation) Act, 2005 for verifying Credit information of the User or an interested Third Party.
With the objective of providing a credit line through the product, Quick Settle, LegalPay may partner with one or more non-banking financial institutions or other entities ("Financing Partner").
LegalPay shall collect, collate and hold relevant documents/declarations/agreements/cheques/drafts and/ or other instruments received from the Users including without limitation, post-dated cheques, items against which a right of lien may be exercised, correspondence and records relating to the payments.
LegalPay shall maintain all necessary records qua the transactions entered into by the User and/or the Interested Third Party with the Financial Partner; including- re-payment amounts due in respect of the Product. The User further agrees and acknowledges that such documentation as aforementioned, shall be sufficient proof of the transactions entered into between the User and LegalPay or a Financing Partner and the amounts due thereto, which the User acknowledges without dispute or demure.
That the User agrees and acknowledges that LegaPay may cease and desist from, allowance of Product usage, at any given time and the User or any interested Third Party shall not hold LegalPay liable for the same.

USER ELIGIBILITY

Users as approved by LegalPay, shall have the right to utilise the product, Quick Settle, however, such determination of User Eligibility shall be the sole prerogative of LegalPay and it shall reserve the right to confirm or deny User Eligibility, after conducting necessary assesments and analysis.

USAGE CONDITIONS

Users agree to use the Services only for purposes that are permitted by a) the User Terms and b) any Applicable Laws as amended from time to time for the time being in force.

By using the Website You agree not to:

authorize others to misrepresent or engage in dissemination of disinformation regarding the Product and the Company;
use the Product or Website for unlawful purposes;
use the Product or Website to cause nuisance, annoyance or inconvenience;
engaged in any activity, in connection with hindering Product operation as propagated through the Website by the Company;
disclose information designated as confidential by LegalPay, without any prior written consent; and

You are solely responsible for any breach of your obligations under this agreement and for the consequences (including any loss or damage which LegalPay or its Financing Partners may suffer) of any such breach.

The Company reserves the right to immediately terminate your usage of the Product and the Website, should you fail to comply with any of the above rules.

REPRESENTATION AND WARRANTIES

Notwithstanding anything iterated above, LegalPay makes no representation or warranty regarding the Product meeting User requirements or it uninterrupted and unhindered provisioning/implementation.

AMENDMENT TO TERMS OF CONTRACT

The Company reserves the right to add, vary or amend any or all these terms and conditions at any time without prior notice and the User and as such the User shall be bound by such addition, variation or amendment once such addition, variation or amendment are incorporated into these User Terms at www.quicksettle.ai

LegalPay reserved the right to freely transfer or assign its rights and obligations vis-à-vis the User or any Interested Third Party under these User Terms to any third party, without the requirement of seeking any further consent from the User or the Interested Third Party.

INTELLECTUAL PROPERTY RIGHTS

LegalPay is the sole owner or lawful licensee of all the rights to the Website and its content. Website content means its design, layout, text, images, graphics, sound, video etc. The website content embodies trade secrets and intellectual property rights protected under worldwide copyright and other Applicable Laws. All title, ownership and intellectual property rights in the Website and its content shall remain with LegalPay, its affiliates or licensor's of LegalPay’s content, as the case may be.

These User Terms do not constitute a sale and do not convey to User any rights of ownership in or related to the Website, or any intellectual property rights owned by LegalPay.

All rights not otherwise claimed under this contract by www.quiclsettle.ai are hereby reserved. The information contained in this Website is intended, solely to provide general information for the personal use of the reader, who accepts full responsibility for its use.

TRADEMARK

All related icons and logos are registered trademarks or service marks of LegalPay in various jurisdictions and are protected under applicable laws. The unauthorised copying, modification, use or publication of these marks is strictly prohibited.

All content on the Website and Product is the copyright of LegalPay except the third party content and any link to third party website on our Website.

In addition, use of the content for any purpose not expressly permitted in this agreement is prohibited and may invite legal action. As a condition of Your access to and use of Product, You agree that You will not use the Website and/or Product to infringe the intellectual property rights of others in any way.

INDEMNIFICATION AND LIMITATION OF LIABILITY

LegalPay shall not be responsible or liable for any loss or damage, howsoever caused or suffered by the User arising out of the use Product or due to the failure of the Financing Partner to provide a credit line to the Users for any reason whatsoever including but not limited to the User's noncompliance with the Service’s terms, malfunction, partial or total failure of any network terminal, data processing system, computer telecom transmission or telecommunications system or other circumstances whether or not beyond the control of the Company or any person or any organisation involved in the above mentioned systems.

The User agrees to indemnify and keep LegalPay, its affiliates, licensors, and Finacing Partners indemnified against all costs, expenses, damages, losses and liabilities incurred or suffered by LegalPay or its affiliated companies related to any User content posted or transmitted by User during the use of the Website or the Product or any unauthorised use of the Website or Product in contravention of this Agreement.

GOVERNING LAW AND DISPUTE RESOLUTION

These User Terms shall be governed by, and construed in accordance with, the laws of India, without reference to principles of conflicts of law. The parties agree that the courts of Delhi shall have exclusive jurisdiction over any dispute arising from or relating to the User Terms and/or the Website.

You expressly consent to the personal jurisdiction of said courts and waive any objection to such personal jurisdiction based on forums non convenience or any other basis.
